By accessing and using the website salmaraghi.com and Al-Maraghi Software Design & Programming Co. services ("we", "us", "the Company"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services Offered
We provide custom application development services for Kuwaiti businesses, including:

- Payment Gateway Integration: KNET, MyFatoorah and all other platforms

3. Founder's Offer - Special Terms
3.1 Offer Details
- Price: 500 KD one-time (50% discount from 1,000 KD) + 240 KD/year subscription
- Availability: Limited to first 5 clients only
- Validity: Until March 20, 2026 or until 5 clients are completed, whichever comes first
- Non-Transferable: This offer is personal and cannot be transferred to another party
3.2 What's Included in the Offer

4. Payment Schedule and Billing
4.1 One-Time Development Fee
- 500 KD due upon contract signing
- 50% (250 KD) upon project start
- 50% (250 KD) upon project completion and delivery
4.2 Annual Subscription Fee
- Price: 240 KD/year
- Includes: Cloud hosting, SSL certificate, basic maintenance, technical support
- Billing: Annually in advance, starting from application launch date
- Renewal: Automatic unless cancelled 30 days before renewal date
4.3 Payment Methods
- Direct bank transfer to Company account
- KNET (for payments within Kuwait)
- Cash (by prior arrangement)
5. Project Timeline
5.1 Development Duration
- Standard Applications: 6-12 weeks from project start date
- Complex Applications: 12-16 weeks (to be agreed in writing)
- Factors: Depends on project scope, client availability, technical complexity
5.2 Client Responsibilities
To ensure project completion on schedule, the Client agrees to:
- Provide all required content (text, images, data) within 7 days of request
- Respond to review requests within 48 hours
- Designate a single point of contact for all project-related communications
- Provide access to necessary systems/accounts (hosting, domains, APIs)
5.3 Project Delays
If the Client delays in providing materials or approvals:
- The project timeline will be extended by the same duration of delay
- The Company will not be responsible for delays caused by the Client
- Subscription fees will start on the originally scheduled date
6. Intellectual Property
6.1 Custom Application Code
- Client Ownership: After full payment, Client owns all custom code developed specifically for their project
- Open-Source Libraries: Remain subject to their original licenses
- Company Templates: Reusable codes and components remain Company property
6.2 Client Content
- Client retains ownership of all provided content (text, images, logos)
- Client grants Company a license to use content for project development purposes
- Client warrants they own full rights to all provided content
6.3 Portfolio Rights
The Company reserves the right to:
- Display the project in Company portfolio
- Use screenshots/descriptions for marketing purposes
- Client may request project non-disclosure in writing
7. Warranties and Support
7.1 Warranty Period
- 3 Months: Free fixes for any bugs or defects in original code
- Not Included: New features, design changes, third-party issues
- Response Time: 24-48 hours for critical issues, 3-5 days for non-critical issues
7.2 Ongoing Support (Included in Subscription)
- Technical support via WhatsApp during business hours (Sunday-Thursday, 9 AM - 6 PM)
- Security updates and bug fixes
- SSL certificate and domain updates
- Basic uptime monitoring
- Weekly data backups
7.3 Additional Services (Not Included)
- New features or enhancements: Priced separately
- Strategic consultations: 50 KD/hour
- Custom training: 75 KD/hour
- Data migration: Priced based on complexity
8. Security and Confidentiality
8.1 Our Security Commitment
- OWASP Compliance: All applications comply with OWASP Top 10 best practices
- Data Encryption: SSL/TLS for all website connections
- Secure Storage: Sensitive data encrypted in database
- Regular Security Checks: Quarterly for active applications
8.2 Non-Disclosure Agreement (NDA)
Both parties agree to:
- Maintain confidentiality of all sensitive project information
- Not disclose business or technical details to third parties
- Apply reasonable security measures to protect data
- Report immediately any potential security breach
9. Limitation of Liability
9.1 Warranty Disclaimer
Our services are provided "as is" without express or implied warranties. We do not warrant:
- Continuous or error-free operation
- Compatibility with all devices and browsers
- Specific business outcomes or return on investment
- Complete protection from cyber attacks
9.2 Liability Cap
Our total liability is limited to:
- Maximum: Total amount paid by Client in the last 12 months
- Indirect Damages: We are not liable for lost profits, data loss, or indirect damages
- Third-Party Losses: We are not liable for issues arising from third-party services
10. Termination and Cancellation
10.1 Termination by Client
- Before Project Start: Full refund minus 50 KD administrative fee
- During Development: Billed for work completed, no refunds on payments
- After Launch: 30 days notice required, no subscription refunds
10.2 Termination by Company
The Company reserves the right to terminate service if:
- Client fails to pay within 15 days of due date
- Client materially breaches these terms
- Client uses the service for illegal activities
- Client's behavior is abusive or harassing
10.3 Upon Termination
- Client receives a copy of all codes and data
- Access to hosting and support services stops
- Client assumes responsibility for migrating application to new hosting
- All outstanding amounts become immediately due
11. Force Majeure
We will not be liable for any failure to perform due to events beyond our reasonable control:
- Natural disasters (earthquakes, floods, storms)
- War, riots, acts of terrorism
- Wide-scale internet or power outages
- New government restrictions or legal requirements
- Major failures in third-party services (AWS, Azure, etc.)
12. Modifications to Terms
- We reserve the right to modify these terms at any time
- Current clients will be notified of material changes 30 days in advance
- Continued use after modifications constitutes acceptance
- Clients who object may request termination without additional fees
13. Governing Law and Dispute Resolution
13.1 Governing Law
These terms are governed by and construed in accordance with the laws of the State of Kuwait.
13.2 Dispute Resolution
- Negotiation: Any disputes will be resolved first through direct negotiation
- Mediation: If negotiation fails, binding mediation in Kuwait
- Arbitration: As a last resort, binding arbitration in Kuwait under Kuwaiti law
- Jurisdiction: Kuwaiti courts have exclusive jurisdiction
14. Miscellaneous Provisions
14.1 Entire Agreement
These terms, along with the project contract, constitute the entire agreement between the parties.
14.2 Severability
If any provision is found to be unenforceable, the remaining provisions remain in full effect.
14.3 Waiver
Failure to enforce any right does not constitute a waiver of that right.
14.4 Assignment
Client may not assign this agreement without written consent from the Company.
